Terms of Use — Mobile & Web Application

The terms governing your individual use of the EQ-Seer mobile app (iOS & Android) and web application, including access to Bob AI.

How this relates to the Master Subscription Agreement. If your organization ("Customer") has signed an EQSeer Master Subscription Agreement (MSA), the MSA governs the commercial relationship between EQSeer and Customer. These Terms of Use govern only your individual use of the app as an Authorized User. Where these Terms conflict with the MSA on the commercial relationship, scope of authorized use, data rights, warranties, liability, or indemnification, the MSA controls.

These Terms of Use ("ToU" or "Terms") govern your individual access to and use of both (a) the EQ-Seer native mobile application for iOS and Android, and (b) the EQ-Seer web portal accessed through a browser at chat.eqrx.io or a customer-specific subdomain (together, the "App" or "Application"), through which the EQSeer Platform and its AI-powered Modules — including Bob AI (Knowledge Bob AI and Process Bob AI) — are delivered (together, the "Service"). These Terms apply equally to both access modes except where a section expressly says otherwise (for example, Sections 10 and 11 apply only if you access the Service through the Apple App Store or Google Play, respectively). These Terms form a binding agreement between you, as an individual user, and EQSeer LLC ("EQSeer," "we," "us," "our"), N9382 Varsity Lane, Appleton, WI 54915, USA.

1. Acceptance & Relationship to the MSA

1.1 Acceptance. By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1.2 Individual scope. These Terms govern your individual use of the App. They do not create any commercial, subscription, or payment relationship between you and EQSeer — that relationship exists solely between EQSeer and your employer or engaging organization ("Customer") under its MSA and Order Form.

1.3 Authority to bind. If you accept these Terms on behalf of an organization, you represent you are authorized to do so; this does not substitute for or amend the MSA.

2. Eligibility & Authorized User Status

2.1 The App is available only to designated, named individuals who are employees or authorized contractors of a Customer and who have been provisioned access ("Authorized Users" or "Users").

2.2 You must be at least the age of majority in your jurisdiction and have legal capacity to enter into these Terms. The App is a workplace tool and is not directed at, or intended for use by, children.

2.3 Access is personal to you. Credentials may not be shared, transferred, sold, or used by more than one individual. Your right to use the App is contingent on your continuing status as an Authorized User and may be revoked by Customer or EQSeer at any time.

3. Accounts, Credentials & Security

3.1 You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. The Service uses token-based authentication with periodic key rotation and, where enabled, multi-factor authentication.

3.2 You must not attempt to extract, copy, forge, reuse, or otherwise misuse authentication tokens or session artifacts, or authenticate other than through the mechanisms the App provides.

3.3 You must promptly notify us at privacy@info.eq-seer.com and your Customer administrator if you know or suspect your credentials or account have been compromised. You remain responsible for use of the App through your account until we are notified and the issue is remediated.

4. License to Use the App

4.1 Subject to your compliance with these Terms and your Customer's active subscription, EQSeer grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the App solely for your Customer's Internal Business Purposes and solely in your capacity as an Authorized User.

4.2 All rights not expressly granted are reserved by EQSeer and its licensors. No title or ownership in the App transfers to you. This license is co-extensive with, and no broader than, the license granted to Customer under the MSA.

4.3 Mobile app vs. web portal. You may access the Service either by installing the native mobile app from the Apple App Store or Google Play, or by using the web portal at chat.eqrx.io through a supported, up-to-date browser (Chrome, Edge, Safari, or Firefox — Chrome is recommended). Both access modes are licensed on the same terms unless a section of these Terms states otherwise. The web portal does not require an app-store download or operating-system permissions and is not subject to Sections 10 (Apple) or 11 (Google Play). You are responsible for your own internet connection, device, and browser used to access the web portal.

You must not, and must not permit any third party to:

6. User Content & Inputs

6.1 The App lets you submit questions, prompts, documents, photos, audio, video, notes, and annotations ("User Inputs"). Where uploaded to or ingested by the Service, User Inputs constitute Customer Data under the MSA and are handled accordingly.

6.2 You are responsible for your User Inputs and represent that you have the rights and permissions necessary to submit them and that they do not violate law or a third party's rights.

6.3 Rights in and control over Customer Data — including retention, access, correction, and deletion — are governed by the MSA and administered by your Customer. Direct data-subject requests to your Customer in the first instance; see Section 13 (Privacy).

7. Bob AI & AI Features — Decision Support Only

7.1 The App provides access to Bob AI, EQSeer's AI assistant, which produces Output — defined in MSA § 7 as synthesized knowledge, AI model outputs, process inferences, event analyses, dashboards, benchmarks, and other content generated by EQSeer's AI systems through processing Customer Data and publicly available information (which may include root-cause hypotheses). Consistent with the MSA's AI Decision Support Disclaimer (§ 12.1), the Service is a decision support tool only. Output does not constitute, and must not be relied upon as, an automated decision, professional advice, or a final determination of any kind. Human review is always required.

7.2 Output is a starting point for a qualified person to verify, not a conclusion. Bob AI can be wrong and may produce confident-sounding but incorrect answers. Where citations are provided, verify Output against the cited source and your own expertise before relying on it.

7.3 Never take a safety-critical action based on Bob AI's output without independent verification. You remain responsible for decisions and actions you take and remain subject to your organization's procedures, applicable engineering standards, and applicable law.

7.4 EQSeer makes no warranty that Output is accurate, complete, current, or fit for any particular purpose.

8. Camera, Microphone & Media Capture (Planned — Not Yet Available)

Not currently available. Camera and microphone-based features are on our roadmap and are not part of the Service today. The current mobile app and web portal do not request camera or microphone access, do not capture audio, video, or photos, and do not perform voice-driven search. This Section 8 describes how the feature will work if and when it is released, is provided for transparency only, and is not a commitment to a delivery date. We will update these Terms, request the applicable operating-system permissions, and provide notice before any such feature becomes active.

8.1 Planned functionality. Once released, the mobile app is expected to request access to your device's camera and microphone to support: (a) voice-driven search — speaking a query or instruction to Bob AI, transcribed to text and used to answer your request; and (b) audio, video, and photo capture — recording and uploading media in the field for ingestion, indexing, and knowledge capture (converting recordings into structured, searchable institutional knowledge). This feature is planned for the mobile app; the web portal is not expected to request camera or microphone access.

8.2 Planned activation and control. When released, these features are expected to operate only after you grant the operating-system camera/microphone permission and take an explicit action (for example, tap-to-talk or tap-to-record) — never background or always-on listening or recording — and captured media is expected to upload only when you choose to upload it, with permission revocable at any time in device settings.

8.3 Your recording responsibilities (once available). When this feature becomes available, you will be required not to, and not to permit any third party to: capture, record, or upload audio, video, or photographs of other individuals without any consent required to record them; violate applicable recording, wiretapping, one-party- or two-party-consent, or workplace-monitoring laws; capture special-category or sensitive personal data; use voice, image, or video to biometrically identify any individual (the feature is not intended for biometric identification); or rely on captured media for a safety-critical decision without independent verification. These obligations apply automatically from the date the feature is enabled, whether or not these Terms have been separately reissued.

8.4 Data handling (once available). When released, captured media and voice-search audio will be Customer Data, processed only to provide the Service and generate Output, and will not be used to train, fine-tune, or improve any AI or machine-learning model. See our Privacy Policy for what will be collected, why, and which sub-processors (e.g., speech-to-text and image analysis) may process it once the feature ships.

9. Third-Party Services

The App may interoperate with third-party services and integrations EQSeer does not control. Your use of such services is governed by their own terms; EQSeer is not responsible for them. The Service relies on sub-processors, including cloud hosting (AWS) and AI providers (OpenAI and Anthropic), described in our Privacy Policy. All AI sub-processors operate under enterprise terms that prohibit training on Customer Data. Web search (via Perplexity) is optional and off by default — it is used only if your organization explicitly enables it, and with it off, your queries never reach the public internet.

10. Apple App Store — Additional Terms

This section applies only if you access the Service via the native mobile app downloaded from the Apple App Store. It does not apply if you access the Service through the web portal in a browser.

The following applies to the App as obtained through the Apple App Store, and controls to the extent of any conflict with the rest of these Terms as to such App:

11. Google Play — Additional Terms

This section applies only if you access the Service via the native mobile app downloaded from Google Play. It does not apply if you access the Service through the web portal in a browser.

If you obtain the App through Google Play, you must comply with the Google Play Terms of Service and applicable usage rules. Google Play is not a party to these Terms, has no support or warranty obligation with respect to the App, and is not responsible for product or intellectual-property claims — all such matters are EQSeer's responsibility, consistent with Section 10 above.

Device permissions. The current mobile app does not request camera or microphone access. If and when the planned feature described in Section 8 is released, iOS and Android will require your explicit, operating-system-level permission before any such access is enabled, and the app will present the relevant system prompts at that time. You will be able to review and change those permissions at any time in your device settings.

12. Intellectual Property

12.1 The App, the Platform, Bob AI, and all related software, models, technology, and materials are the exclusive property of EQSeer and its licensors. Nothing in these Terms grants you ownership of any of the foregoing.

12.2 Output ownership. Output is the property of EQSeer. Your Customer receives a non-exclusive, non-transferable, limited license to access and use Output during the Term for its Internal Business Purposes. Nothing here grants you personally any ownership in, or rights to, Output beyond that license.

12.3 Feedback. If you provide suggestions or feedback, you grant EQSeer a perpetual, irrevocable, royalty-free license to use it without restriction. Feedback is not Customer Data.

13. Privacy

Our collection, use, and disclosure of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. For Customer Data, Customer is the data controller/business and EQSeer processes it on Customer's behalf under the MSA. Where EQSeer processes personal data as a data processor or service provider on Customer's behalf, other contractual terms between EQSeer and Customer may apply instead of the Privacy Policy.

14. Availability & Changes

EQSeer targets high availability for the App consistent with the MSA's Service Levels (Section 9 of the MSA). This is a target, not a guarantee, and is not backed by financial service credits. EQSeer may release updates, modify, suspend, or discontinue features of the App at any time; where changes materially affect Authorized Users, EQSeer will act consistently with the MSA and applicable notice practices.

15. Suspension & Termination

EQSeer may suspend or terminate your access to the App, with or without notice, if it reasonably believes you have violated these Terms, pose a security or legal risk, or as required by law or the MSA. Your Customer may withdraw or modify your Authorized User status at any time. Upon termination, your license under Section 4 ends and you must cease using, and if requested delete, the App from your devices.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP, THE SERVICE, BOB AI, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EQSEER DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR CURRENT. THESE DISCLAIMERS ARE IN ADDITION TO, AND DO NOT LIMIT, THE WARRANTY DISCLAIMERS IN THE MSA, WHICH GOVERN THE COMMERCIAL RELATIONSHIP. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQSEER AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Individual cap. Because these Terms govern your individual, no-charge use of the App as an Authorized User (you personally pay EQSeer nothing), EQSeer's total aggregate liability to you individually arising out of or relating to these Terms will not exceed one hundred U.S. dollars (US $100). This individual cap is separate from, is not a sub-limit of, and does not expand, reduce, or otherwise affect the liability cap between EQSeer and your Customer under MSA § 11 (total fees paid in the preceding twelve months), which governs claims by Customer arising from your use of the App. A claim by you personally under these Terms and a claim by your Customer under the MSA are distinct claims under distinct agreements, each subject to its own cap.

18. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless EQSeer and its affiliates, and their officers, directors, employees, and agents, from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms or applicable law; (b) your misuse of the App; or (c) your User Inputs, to the extent you lacked the rights to provide them. This individual indemnity is in addition to, and does not replace, any indemnification between EQSeer and Customer under the MSA.

19. Governing Law & Disputes

These Terms are governed by the laws of the State of Wisconsin, without regard to conflicts-of-law principles. The parties submit to the exclusive jurisdiction of the federal and state courts located in Calumet County, Wisconsin. Before initiating a formal proceeding, contact privacy@info.eq-seer.com with a written description of the dispute; if unresolved within 30 days, either party may pursue available remedies in the courts above. Nothing here prevents either party from seeking injunctive relief to protect its intellectual property or confidential information.

20. General Provisions

Entire agreement. These Terms, together with the documents referenced herein, are the entire agreement between you and EQSeer regarding your individual use of the App. As between EQSeer and Customer, the MSA governs the commercial relationship. Assignment. You may not assign these Terms or your account; EQSeer may assign them in connection with a merger, acquisition, or sale of assets. Severability & waiver. If a provision is unenforceable, the rest remains in effect; failure to enforce a provision is not a waiver. No third-party beneficiaries except Apple (Section 10) and EQSeer's licensors. Force majeure. EQSeer is not liable for delay or failure caused by events beyond its reasonable control.

Material changes to these Terms will be communicated consistently with the MSA and applicable notice practices. Continued use of the App after an update takes effect constitutes acceptance of the revised Terms. These Terms remain subordinate to the MSA and do not diminish any rights Customer has under a signed MSA or Order Form.
